1. SUBSCRIPTION PLANS AND LICENSING MODEL
1.1. Overview. YouMotion provides Users with several access models to its Content library, tailored for personal, creative, commercial, and enterprise needs. These access models include Subscription Plans (Free, Plus, Prime) and One-Time Purchases of individual Content items.
Each Subscription Plan provides time-based access to specific collections of Content and grants licensing rights according to the tier selected by the User. One-Time Purchases grant perpetual rights to a single Content item under a Single-Use License, without requiring an active subscription.
Detailed features and characteristics of each Subscription Plan are described in the Subscription Plan Summary, available on the Platform. The Summary forms an integral part of these Terms by reference and may be updated independently of these Terms. Information regarding applicable pricing is displayed on the Platform at the time of purchase.
All Licenses granted under any access model (Subscription or One-Time Purchase) are subject to:
1.1.1. the continued validity of your active Subscription, or confirmation of a completed One-Time Purchase;
1.1.2. the restrictions, usage conditions, and prohibited uses defined in these Terms; and
1.1.3. The principle that each License covers a single Project, unless expressly stated otherwise.
1.2. One-Time Purchase Functionality. In addition to subscription-based access, the Platform allows Users to acquire individual Content items on a one-time basis.
Upon completing a One-Time Purchase, a User receives a perpetual, non-transferable Single-Use License valid for a single Project. The transaction record and License Certificate are stored in the User’s Account for further verification.
One-Time Purchases do not grant access to Subscription-only Content or to additional downloadable items beyond the purchased asset. The corresponding License Certificate and unique License ID are issued automatically upon successful payment.
Refunds for One-Time Purchases are governed by Section 9 (Cancellation and Refund Policy).
1.3. Free Plan (Evaluation Access). The Free Plan provides limited, no-cost access to the Platform. It allows Users to preview selected Content, explore Platform functionality, and evaluate features before choosing a paid plan.
Content accessed via the Free Plan is licensed strictly for personal, non-commercial use, unless otherwise specified.
To use Content in commercial, published, or revenue-generating projects, the User must obtain a paid Subscription or purchase an individual License. The Company may modify, limit, or discontinue Free Plan features at any time.
1.4. Plus Plan (Standard Commercial License). The Plus Plan is designed for individual creators, freelancers, and small businesses requiring Content for standard online and digital commercial projects.
Subscribers under the Plus Plan receive a commercial license permitting incorporation of licensed Content into digital works such as:
1.4.1. websites and landing pages; 1.4.2. social media posts, YouTube videos, and promotional content;
1.4.3. digital advertising and corporate presentations;
1.4.4. mobile applications, online tutorials, and internal business communications.
However, the Plus License does not include rights for:
1.4.5. traditional television broadcast (terrestrial, cable, or satellite);
1.4.6. radio broadcast; or
1.4.7. OTT (Over-The-Top) streaming services and theatrical film releases.
The Plus Plan is issued as a single-seat license, authorizing use only by one individual or legal entity. For multi-user or team access, the User must upgrade to the Prime Plan or request an enterprise solution.
1.5. Prime Plan (Enterprise and Extended Commercial License). The Prime Plan is intended for high-exposure, global, and enterprise-level commercial use. It includes all rights granted under the Plus Plan, together with extended usage rights, including:
1.5.1. broadcast television (terrestrial, cable, satellite);
1.5.2. radio distribution;
1.5.3. OTT streaming platforms and subscription-based video services;
1.5.4. theatrical, cinema, or festival releases; and
1.5.5. any other public performance or distribution channels excluded from the Plus Plan.
The Prime Plan may also provide multi-seat access, allowing several authorized users within one organization to work under a shared Subscription, as specified on the Platform or in a separate agreement.
Additional Prime-tier benefits may include priority support, access to exclusive Content, and expanded usage allowances.
1.6. Plan Features, Fair Use, and Download Limits. Paid Subscriptions (Plus and Prime) operate under an “all-you-can-download” model, subject to fair use principles.
To ensure Platform stability and to prevent abuse, YouMotion monitors usage patterns and may apply reasonable technical protections, including:
1.6.1. prevention of automated mass-download or scraping;
1.6.2. mitigation of disproportionate or abnormal download activity;
1.6.3. suspension of access in cases of suspected misuse or redistribution.
These measures do not alter the User’s contractual access tier but ensure secure and equitable use for all Subscribers.
1.7. Plan Modifications and Updates The Company reserves the right to modify the pricing, features, or the availability of Content for any Subscription Plan at its discretion. Any such modification shall not retroactively affect an ongoing paid period you have already purchased. Updated plan terms shall apply upon renewal, upgrade, or downgrade of your Subscription.
We will make reasonable efforts to notify Subscribers in advance of material changes, particularly where such changes may reduce functionality or affect access rights. Continued use of the Platform following any modification constitutes acceptance of the updated terms.
If a modification materially limits your rights or reduces your access, you may cancel your Subscription at the end of the current billing cycle in accordance with Section 9 (Refunds and Cancellations).
2. LICENSE GRANT AND PERMITTED USES OF CONTENT
2.1. License Grant to Subscribers. Subject to your full compliance with these Terms and the timely payment of any applicable subscription fees, YouMotion grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Content you download from the Platform, strictly in accordance with (a) the scope of your active Subscription Plan and (b) the permitted purposes described in this Section.
This License allows you, as the Subscriber, to incorporate the Content into your own creative, editorial, or commercial projects (each, a “Project”) during the period of your active subscription. No ownership, copyright, or moral rights in any Content are sold or assigned to you. All Content remains the sole property of the respective Contributor or of YouMotion, as applicable.
The License is revocable, conditional, and subject to termination in accordance with Section 13. Your continued right to use the Content is contingent upon compliance with these Terms and the lawful maintenance of your subscription.
2.2. Single-Use, Per-Project Licensing. Each item of Content downloaded from the Platform is licensed for use in one single Project only, unless expressly stated otherwise in your Subscription Plan or enterprise agreement.
If you intend to use the same Content item in more than one distinct Project or end product, you must obtain a new License for each use. For active Subscribers, this typically means re-downloading the Content and assigning it to the latest Project while your subscription remains valid.
The Platform automatically generates a unique license identifier and record for every download, which appears in your Account dashboard as verifiable proof of licensed use. It is your responsibility to associate each downloaded Content item with a specific Project and to ensure that use remains within that scope. Using a Content item in multiple unrelated Projects without registering a new License constitutes an infringement of these Terms.
2.3. Duration of License and Subscription Requirement. For Content acquired under a Subscription Plan, the License remains valid only while your subscription is active and fully paid.
If the subscription is canceled or expires, you may continue using the Content only in Projects already created and completed during the active subscription period.
For Content acquired through a One-Time Purchase, the License is perpetual but limited to a single Project and may not be reused or reassigned to additional works.
If a refund, chargeback, or reversal of payment occurs, all Licenses associated with that billing period or transaction are automatically revoked, and you must immediately cease all use of the corresponding Content.
Accordingly, no perpetual or lifetime content rights are granted beyond the conditions specified above.
2.4. Client Work and Third-Party Delivery. Subscribers may incorporate licensed Content into Projects created for end clients (for example, a video produced by a freelance creator for a business client). In such cases:
2.4.1. the License extends to the client solely for use of the completed Project, and not for reuse or extraction of the raw Content;
2.4.2. the client must not receive, resell, or distribute the standalone Content file; and
2.4.3. you, as the Subscriber, are responsible for ensuring that your client or any third party understands and complies with these limitations.
If the client or any third party wishes to reuse the same Content in a different Project, they must obtain their own Subscription or License. No sublicensing, re-distribution, or transfer of Content to third parties is permitted, except as integrated within your finished work.
Prime and enterprise Subscribers may have broader internal usage rights (for example, multi-seat or department-level use), as explicitly stated in their Subscription Plan or separate written agreement.
2.5. Permitted Uses of Content. Subject to the restrictions in Section 7, the following uses of licensed Content are permitted under these Terms, provided they fall within the coverage of your Subscription Plan:
2.5.1. Digital Media. Use in online videos (e.g., YouTube, Vimeo), social media content and advertising, websites, apps, podcasts, webinars, and other internet-based media. This includes both personal and commercial digital projects.
2.5.2. Corporate and Educational. Use in corporate presentations, internal communications, training materials, B2B videos, and educational content, provided the Content is not distributed as a standalone file or sold separately from the Project.
2.5.3. Advertising and Promotional. Use in digital advertising, promotional campaigns, product showcases, or marketing materials. Broadcast and radio advertisements require a Prime Plan or an extended License.
2.5.4. Film, Television, and OTT Productions. Prime Subscribers may incorporate Content into films, TV programs, OTT or streaming series, and other entertainment media intended for theatrical, broadcast, or subscription-based distribution. Plus Subscribers must obtain an upgrade or extended License for such use.
2.5.5. Game Development and Software Integration of Content into software, video games, or apps, provided the Content cannot be extracted or used by end users as standalone assets.
2.5.6. Print and Packaging. Use of still images or frames derived from licensed Content in printed materials such as brochures, posters, product packaging, or marketing collateral, within reasonable commercial quantities. For large-scale print runs or mass distribution, YouMotion may require an enterprise or extended License.
These examples are illustrative, not exhaustive. The guiding principle is that you may use licensed Content in any creative medium consistent with your Subscription Plan, provided you do not violate the restrictions in Section 8 or applicable law.
If you are uncertain whether your intended use is permitted, you should consult the “Allowed/Prohibited Usage Summary” on the Platform or contact legal@youmotion.com before using the Content.
2.6. Audit and Proof of License. Each License issued by the Platform is logged in the Company’s systems and stored within your Account. The License record and accompanying PDF certificate serve as proof of your lawful use. You agree to retain such documentation and to present it upon reasonable request in the event of a legal inquiry, copyright dispute, or audit.
2.7. Client Project License. If you create a Project on behalf of a Client, your License permits you to transfer the completed End Product to that Client for use solely within that specific Project. The Client may not extract, reuse, resell, sublicense, or distribute the original Content outside the End Product. You remain fully responsible for ensuring that all use of the Content - by you and your Client - complies with these Terms. Any subsequent or derivative campaign, redesign, or adaptation beyond the initial brief constitutes a new Project requiring a separate License.
3. LICENSE RESTRICTIONS AND PROHIBITED USES
3.1. Notwithstanding the permissions granted under these Terms, YouMotion Content and Services must be used responsibly and only within the scope of the License granted. Any prohibited use described below constitutes a material breach of these Terms and may result in immediate termination of your account, revocation of all active Licenses, forfeiture of accrued payments, and potential civil or criminal liability. By using the Platform, you expressly agree not to engage in any of the following:
3.1.1. Redistribution or Sharing of Raw Content. You may not distribute, share, rent, resell, gift, or otherwise make available any Content as a standalone file or in a manner that allows third parties to download, extract, or access the raw asset directly.
This prohibition applies to all forms of file-sharing, including uploading to external websites, social platforms, peer-to-peer networks, or storage services.
Content must always be incorporated into a bona fide creative Project where it serves as a supporting element rather than the primary value of the work.
Clients, contractors, or collaborators may only receive the final rendered Project and never the raw asset files, unless they hold their own active YouMotion subscription that covers that Content.
3.1.2. Resale, Library, or Template Creation. You may not use Content to create, contribute to, or populate any stock media service, content marketplace, archive, or template - based product - whether commercial or free. This includes, without limitation, the creation of:
3.1.2.1. stock video, music, or photo collections;
3.1.2.2. design or video templates intended for resale or redistribution;
3.1.2.3. websites or apps offering downloadable content packs; or
3.1.2.4. “on-demand” merchandise services where third parties select Content for printing on products
The License granted by YouMotion is intended for creative use within your own Projects, not for building derivative libraries or toolkits that others may access.
3.1.3. Sublicensing and Transfer Licenses granted under these Terms are personal and non-transferable. You may not sublicense, assign, or transfer any rights or Content files to another person or entity, whether for payment or otherwise.
If you are an organization, your employees or contractors may use the Content solely to create Projects on your behalf, provided that such individuals act under your direction and do not use or retain the assets for their own purposes.
Clients may not extract or reuse the Content independently of the final Project delivered to them.
3.1.4. Unlawful, Offensive, or Sensitive Uses. You may not use Content in any context that is unlawful, defamatory, fraudulent, obscene, pornographic, hateful, or otherwise likely to harm the reputation, dignity, or privacy of any person or entity. This includes (without limitation):
3.1.4.1. adult or sexually explicit material;
3.1.4.2. political campaigning or endorsement without consent;
3.1.4.3. discriminatory, violent, or defamatory works;
3.1.4.4. misleading representations about a person, brand, or organization; or
3.1.4.5. any material reasonably considered offensive, controversial, or exploitative.
You are responsible for ensuring that your use of Content featuring identifiable people, property, or trademarks complies with applicable laws and any release terms.
Even where a “Model Released” or “Property Released” notice is indicated, you may not use such Content to imply personal attributes, medical conditions, political views, or other sensitive associations without explicit permission.
3.1.5. False Attribution and Misrepresentation. You may not claim authorship or exclusive ownership of any Content obtained through the Platform. Minor alterations, filters, or edits do not make you the creator of the underlying work.
You must not remove, obscure, or alter any metadata, watermark, or identifying marks embedded in the Content for the purpose of concealing its origin or misrepresenting authorship.
You are, however, free to claim authorship of your overall Project as an integrated creative work that includes licensed assets.
3.1.6. Use in Trademarks or Logos. Content from YouMotion may not be used, in whole or in part, as a trademark, logo, or other brand identifier. Because YouMotion Content is licensed non-exclusively, it cannot serve as a unique commercial identifier for any individual or business.
Any attempt to register Content as part of a mark, or to use it as a distinctive branding element, is strictly prohibited.
3.1.7. Music and Audio Restrictions. Licensed music and sound effects must always be synchronized with a visual or narrative work. You may not distribute or make available YouMotion music as standalone audio (e.g., uploading to Spotify, SoundCloud, or similar platforms).
You may not register any YouMotion audio under your own name in any Content ID, PRO, or similar system.
Some music tracks may be identified or managed through automated copyright management systems, such as Content ID or similar platforms (e.g., YouTube, Facebook, TikTok). If your legitimate, licensed use is flagged or restricted by such systems, you may provide your License Certificate directly to the platform or contact legal@youmotion.com for assistance.
3.1.8. NFTs, Blockchain, and Tokenization. You may not use, display, distribute, or transform any YouMotion Content into blockchain-based assets, including non-fungible tokens (NFTs), crypto-collectibles, or similar tokenized forms of media.
The License does not authorize embedding Content in immutable ledgers or associating it with digital tokens that imply ownership, exclusivity, or resale rights.
3.1.9. AI, Machine Learning, and Biometric Uses. YouMotion strictly prohibits the use of any Content, including its metadata, for training, testing, or developing artificial intelligence, machine learning, neural networks, or biometric identification systems.
This includes using Content to train text-to-image, text-to-video, or voice-replication models.
You may, however, use AI-assisted tools solely to edit or enhance your Project, provided that the Content itself is not used as input data for algorithmic training or replication.
3.1.10. Print-on-Demand and Merchandise Restrictions. You may not use Content as the sole or primary design element in products created for sale or distribution through print-on-demand or made-to-order services (such as apparel, mugs, or posters).
To use Content in merchandise, it must be substantially transformed or incorporated into a larger, original creative composition that adds independent artistic value.
For large-scale manufacturing or merchandising campaigns, an extended or enterprise license may be required.
3.1.11. Seat and Account Restrictions. Unless you hold a multi-user or enterprise subscription, your Account and Subscription are strictly limited to a single user. Each user must maintain their own individual Account and login credentials.
Shared access or use of one Account by multiple individuals - including within the same company, studio, or team - is strictly prohibited and constitutes a material breach of these Terms.
If team collaboration or shared use of Content is required, each participant must either (i) hold an active individual Subscription, or (ii) be covered under an authorized Team or Enterprise Agreement with centralized billing and user management.
YouMotion reserves the right to suspend or terminate Accounts found to be engaged in unauthorized multi-user access or credential sharing.
3.1.12. Platform Misuse, Security, and Content ID Abuse. You may not:
3.1.12.1. interfere with or attempt to compromise the security, stability, or performance of the Platform;
3.1.12.2. use bots, scrapers, or other automated means to access or download Content;
3.1.12.3. circumvent download limits or technical protection measures;
3.1.12.4. attempt to reverse engineer or replicate the Platform’s functionality; or
3.1.12.5. falsely register or claim YouMotion Content in any Content ID, copyright, or rights-management system.
Users are strictly prohibited from registering or claiming YouMotion Content in any Content ID, copyright, or rights-management system.
However, if a legitimate licensed use is mistakenly flagged, the User may submit the License Certificate to the relevant platform or contact legal@youmotion.com for support in resolving the issue.
3.1.13. Enforcement and Remedies. YouMotion reserves the right to monitor usage, audit accounts, and investigate suspected violations.
Any breach of this Section may result in immediate suspension or termination of your Account and Licenses, deletion of your Content access, and legal proceedings for damages, including costs of enforcement.
3.1.14. Audit and Recordkeeping. You shall maintain accurate records linking each downloaded Content item to its corresponding Project and License ID for at least three (3) years after the date of download.
Upon YouMotion’s written request, you must provide reasonable evidence of compliant use within thirty (30) days.
Failure to provide such documentation may result in suspension of account privileges or termination of the relevant License.
3.1.15. Prohibited Uses and AI/ML Restrictions. You may not, and shall not permit any third party to:
3.1.15.1. include Content in any stock library, template pack, preset, sticker set, NFT collection, or similar product intended for resale or redistribution;
3.1.15.2. use Content as, or as part of, any logo, trademark, service mark, or trade dress, or seek registration thereof;
3.1.15.3. sell or offer Content through print-on-demand, merchandise, or other resale-based models without substantial creative modification;
3.1.15.4. engage in any AI/ML Use - including training, fine-tuning, testing, embedding, data mining, or dataset creation - without a separate written license expressly authorizing such activity;
3.1.15.5. use Content in a manner that suggests endorsement by any person, brand, or property depicted without a valid Model or Property Release; 3.1.15.6. combine Content with third-party materials that infringe intellectual property, privacy, or publicity rights.
